End User License Agreement

By installing, activating, or using this software (the "Software"), you agree to the terms of this End User License Agreement ("Agreement") with Weaver Audio Pty Ltd (ACN 678 376 086) of Melbourne, Victoria, Australia ("Weaver Audio"). If you do not agree, do not install or use the Software.

1. License Grant

Subject to your compliance with this Agreement and payment of any applicable fees, Weaver Audio grants you a non-exclusive, non-transferable, PERPETUAL license to install and use the Software on machines you own or control, up to the number permitted by your license tier, for personal or internal business purposes.

Perpetual means the license does not expire and is not a subscription: you may keep using the version of the Software supplied to you, and every point release within the same major version, for as long as you like. Point releases within your major version (for example 1.0 through 1.9 - bug fixes, compatibility fixes and improvements) are included at no extra cost. A new major version (for example 2.0) may be offered as a paid upgrade; you are never obliged to take it, and if you do not, the version you have keeps working under this license.

The Software confirms your license with our server when you activate it and re-confirms roughly every three months. Between those checks it runs normally with no internet connection. If it has not reached us for about three months it asks you to reconnect once; your purchase is unaffected and reconnecting restores it immediately. If we ever retire the license server, we will first publish a release that does not require it.

This license is revocable in two cases and no others: if you breach this Agreement, or if the purchase is refunded, reversed or charged back, in which case the license that payment bought ends. We do not otherwise revoke a license you have paid for, and if we stop selling or supporting a product the licenses already issued for it keep working. Support is a separate matter from your license: we support current releases, and do not undertake to make a version supplied earlier run on an operating system, host application or plug-in format released after it.

You retain full ownership of any datasets, models, audio output, or derivative works you create using the Software.

The Software, including all source code, designs, trademarks, and documentation, is owned by Weaver Audio and protected by copyright and other intellectual property laws.

4. Third-Party Content

You are solely responsible for ensuring you have valid licenses for any third-party plugins you use and any audio content you process.

5. License Activation and Updates

The Software may require online activation and may communicate with our servers to validate your license and to check whether a newer version has been released. The update check fetches one small public file listing the current released version and compares it on your machine; the request sends nothing about you or your installation - not the product, not the version you are running, not your operating system, and no license serial, email address or account identifier. It can be switched off. We may release updates or patches, and installing them is your choice - the version you have keeps working, as described in section 1. A license is revoked only in the two cases stated in section 1.

6. Privacy

Anonymous usage telemetry is opt-in and only collected with your consent. We do not collect, transmit, or store your audio content, datasets, or trained models. We do not sell your personal information to third parties.

7. Disclaimers

Nothing in this Agreement excludes, restricts or modifies any consumer guarantee, right or remedy you have under a law that cannot be contracted out of. If you are in Australia, our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law: you are entitled to a replacement or refund for a major failure and to compensation for any other reasonably foreseeable loss or damage. Purchases are also covered by the 30-day refund policy in our Terms and Conditions. Subject to all of that:

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

Subject to the consumer rights described in section 7, and TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WEAVER AUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR DAMAGE TO AUDIO EQUIPMENT, ARISING OUT OF YOUR USE OF THE SOFTWARE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

AUDIO SAFETY NOTICE: You are solely responsible for monitoring playback levels. Improper use of the Software may produce loud or sudden audio output that could damage hearing or equipment. Always start with low monitoring levels.

9. Termination

This Agreement remains in effect until terminated. We may terminate your license immediately if you breach this Agreement. Upon termination, you must cease all use of the Software and destroy all copies.

10. Governing Law

This Agreement is governed by the laws of the State of Victoria, Australia, without regard to conflict-of-law principles. You and Weaver Audio submit to the non-exclusive jurisdiction of the courts of Victoria and of the courts that hear appeals from them. Nothing in this section takes away a right you have under a consumer law that cannot be contracted out of (section 7), or prevents you bringing a claim where such a law gives you that right.

11. Entire Agreement

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Weaver Audio regarding the Software.
